NEW DELHI — Character.AI, the conversational artificial intelligence platform once valued at around ₹8,300 crore, has filed for Chapter 11 bankruptcy protection in the United States and agreed to sell select assets to Walt Disney for ₹166 crore. The proposed deal will proceed through a court-supervised auction where Disney serves as the initial bidder, leaving the process open to competing offers until proceedings conclude in late November or early December 2026. The move marks a sharp reversal for the three-year-old startup, which gained global attention for enabling users to interact with customizable digital personas.
Financial and Court-Supervised Asset Auction
Court filings submitted by parent entity Character Technologies place both estimated assets and liabilities between ₹415 crore and ₹830 crore. The legal documentation does not outline the precise factors behind the firm’s financial difficulties, leaving the underlying commercial drivers undisclosed. Chief Executive Officer Colin Adams stated that the board of directors carried out a full review of strategic alternatives before determining that a supervised sale offered the best route to maximise value for stakeholders.
The pending ₹166 crore agreement with Disney does not represent an acquisition of the entire company, but rather covers specified assets and intellectual property licences. Because the purchase involves only a portion of the business, the transaction price does not by itself establish the total current valuation of the startup. The legal framework will allow rival bidders to challenge Disney’s opening proposal, with final ownership depending on whether higher offers materialise before judicial deadlines expire.
Operations Continue Amid Risk of Total Shutdown
The company intends to maintain day-to-day operations during the restructuring, aiming to prevent disruptions for existing users while the asset transfer is negotiated. However, management has cautioned that the platform could face a complete shutdown if the court-monitored process fails to produce a buyer committed to operating the service long term.
The uncertainty has cast doubt over the continuity of the platform’s personalised conversational tools. For now, normal service remains dependent on the progress of the court proceedings, the emergence of any higher bids, and the willingness of an incoming owner to finance day-to-day infrastructure. The contrast between the company’s prior peak valuation and the asset purchase price has drawn scrutiny, though the immediate priority remains service stability as the court determines the next steps.
Evolution From Research Venture to Digital Entertainment
Character.AI was founded in 2022 by former Google researchers Noam Shazeer and Daniel De Freitas, quickly establishing a prominent footprint in generative AI entertainment. Powered by large language models, the platform allows users to design fictional personalities, hold complex role-playing dialogues, and build imaginary narratives tailored to their personal preferences.
The service became a leading example of generative AI expanding beyond office productivity software into interactive consumer media. By allowing audiences to adjust personality traits and behavioural responses, the platform turned dynamic text generation into a distinct consumer product. The pending judicial sale now places the company at a defining crossroads, where the outcome of the asset bidding will decide who controls its core technology and whether the virtual characters remain accessible online.
