The SEBI (Settlement of Administrative and Civil Proceedings) Regulations, 2026, establish a revised framework for settling specified proceedings under securities laws.

Notified on October 8, the regulations replace the SEBI (Settlement Proceedings) Regulations, 2018, and introduce online applications, settlement calculators and faster procedures for eligible cases.

What Has Changed Under the New Regulations?

Under the revised framework, eligible individuals and entities can apply to settle specified proceedings at any stage, subject to prescribed requirements. SEBI has introduced online application facilities, a dedicated help desk and frequently asked questions to assist applicants throughout the settlement process.

The regulator has also provided a settlement amount calculator and an explanatory video demonstrating its use. Applications will be examined under the new regulations, which establish procedures for determining settlement amounts and reviewing requests. The framework is intended to facilitate the settlement of eligible administrative and civil proceedings.

How Much Will Applicants Have to Pay?

The regulations prescribe a non-refundable application fee of ₹25,000 for individuals and ₹35,000 for other applicants. The minimum settlement amount has been fixed at ₹3 lakh for first-time applicants and ₹7 lakh for other applicants.

The final settlement amount will be calculated using a prescribed formula that considers the base amount, stage of proceedings, regulatory action and seriousness of the alleged violation. Aggravating and mitigating circumstances will also influence the calculation, meaning settlement amounts may differ depending on the nature of each case.

How Will the Fast-Track Settlement Process Work?

The new regulations introduce two fast-track settlement mechanisms based on the nature of violations and monetary thresholds. Under the monetary threshold-based mechanism, applications involving settlement amounts of up to ₹10 lakh may qualify for the prescribed expedited procedure, provided no disgorgement or remedial and regulatory terms are involved.

The framework also provides for an Internal Committee and a High-Powered Advisory Committee to examine settlement applications and recommend appropriate terms. These committees will assess applications under the prescribed regulatory process. The revised system combines online filing facilities with defined financial criteria and committee-based scrutiny, providing applicants with a structured procedure for seeking settlement of eligible proceedings under securities laws.
